  • provide accurate, current, and complete information;

  • keep your account information up to date;

RamAIn may require you to re-authenticate at intervals or where we detect suspicious activity. We may also require multi-factor authentication for enhanced security.

5. The Service and How It Works

5.1 Local-First Architecture

RamAIn is a local-first AI agent. It performs data capture (including screen reading and OCR), AI inference, and draft generation directly on your device. User Content is processed and stored locally on your device by default and is not uploaded to RamAIn servers as content stored at rest. This architecture is fundamental to RamAIn's privacy design and is described in more detail in the Privacy Policy.

5.2 Transient Cloud Processing

Certain features may require cloud-based AI inference. When you intentionally activate such a feature (typically by pressing a designated hotkey), limited snippets of User Content may be transmitted securely to third-party cloud inference providers (such as Groq or Google Cloud) solely to generate a real-time response. Such data is processed in volatile memory, used only to complete your request, and is not retained by RamAIn or its subprocessors after processing is complete. The Privacy Policy describes the technical and contractual controls that apply to Transient Cloud Processing.

5.3 Third-Party AI Models and Infrastructure

The Service may use third-party AI models and inference infrastructure. The performance, accuracy, and availability of Outputs may be affected by those third-party systems. RamAIn does not control third-party model behaviour and makes no representation about third-party model outputs beyond what is described in these Terms.

5.4 Service Updates and Changes

RamAIn may update, modify, or discontinue the Service or any feature at any time. Where we make material changes that adversely affect your use of the Service, we will provide reasonable advance notice, except where changes are required by law, for security, or to prevent harm. We will endeavour to minimise disruption to paid subscribers.

6. Digital Agent Model, Limited Authority, and Human Review

6.1 What RamAIn Can Do

RamAIn can function as a Digital Agent in a limited sense. It can draft content, suggest responses, summarise information you have made available, format data, and prepare proposed actions within third-party applications --- but only at your explicit direction and within the boundaries described below.

6.2 Limited Authorisation

When you invoke a feature, you authorise RamAIn to perform that specific task. This authorisation is scoped strictly to what is functionally necessary to complete the task you request and does not grant RamAIn any general authority to act on your behalf. RamAIn has no authority to create, accept, modify, or execute any legal or financial obligation on your behalf.

6.3 Human-in-the-Loop Requirement

You are required to review all Outputs and proposed actions before you rely on, send, publish, or execute them. This includes, without limitation, checking:

  • recipients, addresses, and routing details;

  • attached files, links, and referenced documents;

  • quoted text, numerical values, dates, and deadlines;

  • legal, financial, medical, or other regulated information; and

  • any other material detail specific to the context of use.

This human review requirement is a condition of use. RamAIn is not responsible for consequences arising from your failure to review Outputs before acting on them.

6.4 Non-Binding Outputs

Any Output is non-binding unless and until you take a separate, intentional action to approve and transmit or execute it through the applicable interface. The Service does not independently send, post, file, or execute any action without your affirmative step.

6.5 High-Impact and Regulated Contexts

The Service is a general-purpose AI tool. It is not designed or validated for use in life-critical, safety-critical, legally determinative, or other high-impact contexts without appropriate human oversight and professional review. If you use the Service in connection with legal, financial, medical, employment, or other regulated matters, you are responsible for obtaining independent professional advice and for verifying all Outputs. RamAIn does not provide professional advice of any kind.

7. Intellectual Property, Licenses, and User Content

7.1 RamAIn's Intellectual Property

RamAIn and its licensors own all right, title, and interest in and to the Service, including the application software, AI models, training methodologies, interfaces, APIs, documentation, branding, and all related Intellectual Property Rights. Except as expressly granted in these Terms, no rights are granted to you, and nothing in these Terms transfers any ownership interest.

7.2 License Grant to You

Subject to your compliance with these Terms and payment of applicable fees, RamAIn grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Service solely for your internal, lawful purposes during the term of these Terms. This license does not include the right to: (a) grant access to the Service to third parties; (b) use the Service for the benefit of third parties as a service bureau; or (c) exceed the usage parameters associated with your subscription plan.

7.3 Your User Content

As between you and RamAIn, you retain all rights in User Content to the extent you hold such rights. Nothing in these Terms transfers ownership of User Content to RamAIn. You are responsible for ensuring you have all rights, licences, consents, and permissions necessary to allow the Service to process User Content, including any third-party content that appears in your workspace.

7.4 License You Grant to RamAIn

To operate the Service, you grant RamAIn a worldwide, non-exclusive, royalty-free license to use, reproduce, transmit, and transform User Content solely to the extent necessary to:

  • perform local processing on your device;

  • perform Transient Cloud Processing when you activate a cloud inference feature;

  • display Outputs to you;

  • maintain the integrity, security, and performance of the Service, including debugging and abuse prevention; and

  • comply with applicable law and enforce these Terms.

This license does not permit RamAIn to sell User Content, use it for advertising, or use it to train general-purpose models deployed for other users. The license extends to RamAIn's subprocessors only to the extent necessary for them to provide services to RamAIn, consistent with these Terms and the Privacy Policy.

14. Disclaimers and Accuracy of Outputs

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RAMAIN AND ITS LICENSORS EXPRESSLY DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ACCURACY.

Outputs are generated based on the inputs, context, and User Content you provide or make available. AI systems can produce inaccurate, incomplete, or misleading content. You are solely responsible for evaluating the accuracy and appropriateness of Outputs before relying on them or taking any action based on them. The human review requirement in Section 6.3 is a condition of use.

The Service does not provide legal, financial, medical, employment, or other professional advice. Nothing in any Output should be construed as professional advice, and you should seek independent professional guidance before acting on any Output in a professional or regulated context.

Some jurisdictions do not permit the exclusion of implied warranties. To the extent such exclusions are not permitted, RamAIn's warranties are limited to the minimum scope and duration required by applicable law.

15. Indemnification

15.1 Your Indemnification Obligations

You will indemnify, defend, and hold harmless RamAIn, its affiliates, and their respective directors, officers, employees, contractors, and agents ("RamAIn Parties") from and against any claims, demands, suits, proceedings, damages, liabilities, losses, fines, penalties, and expenses (including reasonable attorneys' fees and court costs) arising out of or relating to:

  • your access to or use of the Service, including your reliance on Outputs or any action you take based on Outputs;

  • your User Content, including any claim that User Content infringes, misappropriates, or violates the Intellectual Property Rights, privacy rights, or other rights of any third party;

  • your breach of these Terms, the Privacy Policy, or the AUP;

  • your use of the Service with third-party applications, platforms, or accounts, including any violation of those third parties' terms;

  • any Non-User Data processed by the Service because it appears in your workspace;

  • your use of the Service in a high-impact, regulated, or restricted context; or

  • your negligence or wilful misconduct,

except to the extent that the claim arises directly from RamAIn's gross negligence, wilful misconduct, or material breach of these Terms.

15.2 RamAIn's Indemnification Obligations

RamAIn will indemnify, defend, and hold harmless you from and against any third-party claim that the unmodified Service, when used as permitted under these Terms, infringes a valid U.S. patent, copyright, or registered trademark. RamAIn will pay damages finally awarded by a court of competent jurisdiction, or amounts agreed in a settlement approved in writing by RamAIn. This obligation does not apply to claims arising from:

  • User Content or content provided by you;

  • combinations of the Service with products, services, or data not provided by RamAIn;

  • use of the Service not in accordance with these Terms or the AUP; or

  • Beta Features.

If the Service becomes, or in RamAIn's reasonable opinion is likely to become, the subject of an infringement claim, RamAIn may, at its option: (i) modify the Service to make it non-infringing; (ii) replace the Service with a functionally equivalent, non-infringing alternative; or (iii) terminate the affected portion of the Service and provide a pro-rated refund of prepaid, unused fees for that portion, as your sole and exclusive remedy for such infringement claims.

15.3 Indemnification Process

The party seeking indemnification (the "Indemnified Party") must: (a) promptly notify the indemnifying party (the "Indemnifying Party") in writing of any claim, provided that failure to provide timely notice will not relieve the Indemnifying Party of its obligations except to the extent it is materially prejudiced by the delay; and (b) provide reasonable cooperation at the Indemnifying Party's expense.

The Indemnifying Party will have the right to control the defence and settlement of the claim using counsel of its choosing. The Indemnified Party may participate in the defence with counsel of its own choosing at its own expense. The Indemnifying Party may not settle any claim in a manner that: (a) imposes any admission of liability or fault on the Indemnified Party; (b) imposes injunctive or non-monetary obligations on the Indemnified Party; or (c) requires the Indemnified Party to pay any sum, in each case without the Indemnified Party's prior written consent, not to be unreasonably withheld or delayed.

16. Limitation of Liability

EXCLUSION OF CONSEQUENTIAL DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEITHER PARTY NOR ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS WILL BE LIABLE TO THE OTHER PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY (INCLUDING CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE), EVEN IF THE PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

AGGREGATE CAP. RAMAIN'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNTS PAID OR PAYABLE BY YOU TO RAMAIN IN THE ONE (1) MONTH IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE THOUSAND U.S. DOLLARS (USD $1,000).

EXCEPTIONS. NOTHING IN THESE TERMS LIMITS OR EXCLUDES LIABILITY FOR: (A) FRAUD OR FRAUDULENT MISREPRESENTATION; (B) WILFUL MISCONDUCT OR GROSS NEGLIGENCE; (C) DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE.

The parties acknowledge that the limitations and exclusions in this Section reflect a reasonable allocation of risk and form an essential basis of the bargain between the parties.

17. Dispute Resolution, Arbitration, and Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

17.1 Informal Resolution

Before initiating any formal proceeding, you agree to contact us at legal@Ramain.ai with a written description of the dispute and the relief you are seeking. The parties will attempt in good faith to resolve the dispute informally for at least thirty (30) days from the date the notice is received, unless: (a) doing so is not legally permissible; or (b) the nature of the dispute requires immediate relief to prevent irreparable harm.

17.2 Binding Arbitration

If informal resolution fails, and except as provided in Section 17.3, any dispute, claim, or controversy arising out of or relating to these Terms, the Service, or the breach, termination, enforcement, interpretation, or validity thereof ("Dispute") will be resolved by binding, individual arbitration. The arbitration will be administered by the American Arbitration Association ("AAA") under:

  • its Consumer Arbitration Rules, if you are an individual consumer; or

  • its Commercial Arbitration Rules, if you are using the Service on behalf of a business,

in each case as modified by these Terms. The arbitration will be conducted in Wilmington, Delaware unless the parties agree otherwise. Individual consumers may request that the arbitration be conducted by video, phone, or written submissions where the AAA rules permit. The arbitrator may award any relief that a court of competent jurisdiction could award, but only on an individual basis.

17.3 Exceptions to Arbitration

The following may be brought in any court of competent jurisdiction, notwithstanding the arbitration obligation in Section 17.2:

  • claims that qualify for small claims court in your jurisdiction;

  • claims seeking injunctive or other equitable relief for actual or threatened infringement, misappropriation, or violation of Intellectual Property Rights; and

  • any claim that applicable law requires to be resolved in court.

17.4 Arbitration Fees

Payment of arbitration filing, administrative, and arbitrator fees will be governed by the applicable AAA rules. The arbitrator may award fees and costs only to the extent permitted by those rules and applicable law.

17.5 Class Action Waiver

YOU AND RAMAIN AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, PRIVATE ATTORNEY GENERAL, OR OTHER REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A REPRESENTATIVE OR CLASS PROCEEDING.

If this class action waiver is found to be unenforceable with respect to a particular claim, that claim will be severed and resolved in court; the remainder of the arbitration agreement will remain in full force.

17.6 Jury Trial Waiver

TO THE EXTENT PERMITTED BY APPLICABLE LAW, EACH PARTY WAIVES ANY RIGHT TO A JURY TRIAL IN CONNECTION WITH ANY DISPUTE ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE.

18. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws rules. To the extent a dispute is not subject to arbitration under Section 17, or involves an exception under Section 17.3, you and RamAIn consent to the exclusive jurisdiction of the state and federal courts located in the State of Delaware.

If you reside in a jurisdiction where mandatory local law applies (including consumer protection laws that cannot be excluded by contract), those laws will apply to the extent they are mandatory and to the extent of any conflict with these Terms, notwithstanding the choice of law in this Section.

19. Export Controls, Sanctions, and Government Users

19.1 Export Controls and Sanctions Compliance

The Service and any related technology may be subject to U.S. export control laws and regulations, including the Export Administration Regulations (EAR) and the Office of Foreign Assets Control (OFAC) sanctions programmes. You agree not to use, export, re-export, import, or transfer the Service except as authorised by: (a) U.S. law; (b) the laws of the jurisdiction in which you received the Service; and (c) the laws of the jurisdiction in which you use the Service.

You represent and warrant that: (i) you are not located in, or a national or resident of, a country or territory subject to comprehensive U.S. government embargo (currently including Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, and Luhansk regions of Ukraine); and (ii) you are not listed on any U.S. government list of prohibited or restricted parties (including OFAC's SDN list, the Bureau of Industry and Security Entity List, or the Denied Persons List).

19.2 Government Users

If you are a U.S. federal government user, the Service is provided as "commercial computer software" and "commercial computer software documentation" within the meaning of applicable U.S. federal procurement regulations (including FAR 2.101 and DFARS 252.227-7014). Your rights to use the Service are limited to those granted in these Terms, to the maximum extent permitted by applicable procurement regulations.

20. Jurisdiction-Specific Consumer Rights

Notwithstanding any other provision of these Terms, the following apply where mandatory local law grants rights that cannot be excluded by contract:

20.1 European Union / UK Consumers

If you are a consumer resident in the EU or UK: (a) you may have statutory rights in relation to digital services under the EU Digital Services Act, Consumer Rights Directive, and/or the UK Consumer Rights Act 2015 that cannot be excluded by these Terms; (b) the mandatory consumer protection laws of your country of residence may apply; and (c) you may have the right to refer a dispute to an alternative dispute resolution body or to your national consumer protection authority.

20.2 Indian Consumers

If you are a consumer in India, your rights under the Consumer Protection Act, 2019 and the Information Technology Act, 2000 and applicable rules apply and are not excluded by these Terms.

20.3 General

Nothing in these Terms limits or excludes any right you have under mandatory consumer protection laws that cannot be waived by contract. Where these Terms are inconsistent with mandatory consumer rights, those rights prevail to the extent of the inconsistency.

22. Miscellaneous

22.1 Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide notice by: (a) posting the updated Terms with a revised Last Updated date; (b) displaying an in-app notification; or (c) sending an email to the address associated with your account, in each case before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service and, if applicable, cancel your subscription before the effective date.

22.2 Assignment

You may not assign, transfer, or delegate any right or obligation under these Terms without RamAIn's prior written consent. RamAIn may assign these Terms and any rights or obligations hereunder in connection with a merger, acquisition, corporate reorganisation, or sale of all or substantially all of RamAIn's assets, without your consent. These Terms will be binding on and inure to the benefit of permitted successors and assigns.

22.3 Severability

If any provision of these Terms is found to be unenforceable by a court or arbitrator of competent jurisdiction, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect. The class action waiver in Section 17.5 is severable from the arbitration agreement as described therein.

22.4 Waiver

No failure or delay by either party in exercising any right under these Terms will constitute a waiver of that right. A waiver is only effective if made in writing and signed by the waiving party. A waiver of a breach does not constitute a waiver of any subsequent breach.

22.5 Force Majeure

Neither party will be liable for delays or failures in performance resulting from causes beyond its reasonable control, including acts of God, war, terrorism, natural disasters, governmental actions, labour disputes, internet or infrastructure failures, or other events outside the affected party's reasonable control ("Force Majeure Events"). The affected party will provide prompt notice of the Force Majeure Event and use commercially reasonable efforts to resume performance. If a Force Majeure Event continues for more than 60 consecutive days, either party may terminate these Terms on written notice.

22.6 Notices

RamAIn may send notices to you by email to the address associated with your account, by in-app notification, or by posting on the Service. You may send notices to RamAIn by email to: legal@Ramain.ai, or by post to: RamAIn, Inc., 505 Montgomery Street, San Francisco, CA 94111, USA. Notices are effective when received.

22.7 Relationship of the Parties

The relationship between you and RamAIn is that of independent contractors. Nothing in these Terms creates a partnership, joint venture, agency, franchise, or employment relationship. Neither party has authority to bind the other.

22.8 Entire Agreement

These Terms, together with the Privacy Policy, the AUP, and any applicable Order or Subscription Confirmation, constitute the entire agreement between you and RamAIn regarding the Service and supersede all prior and contemporaneous agreements, representations, and understandings relating to the subject matter hereof. In the event of a conflict, the order of precedence in Section 1 applies.
